For value received and other consideration, the Contra~or agrees with the Well Owner to provide the Well Owner the following services in accordance with the terms and conditions of this Contract: Description: Conduct Plug & Abandonment operations for Romlg Park Nc.l, API No. 009-10001-00, located 670' WEL & 570' NSL, Sec 9, '172N, R4W, S.M., as described in Exhibit A and secure State of Alaska Oil & Gas Commission sig~;-off. 2. WORK STANDARDS. Work shall comply with industry & AOGCC standards. 3. SPECIAL CONDITIONS. Contractor agrees to perform the services specified as limited by the following conditions: Operations will be suspended and the well secured if pressure is encountered which can not be bled down. Well Owner will be responsible for all costs incurred to suspend operations and secure the well. Removal of cut-off casing and cement from the site is not covered under this Contract. A fiat rate cost for cut-up and offslte dlsposal of scrap casing, and cement debris, will. be provided by Contractor upon completion of well operations if requested by Well Owner. By executing this Agreement Well Owner authorizes Polar Energy Corporation to act its behalf with regard to securing any permits and agency sign-off required to meet the terms of this ~4greement. 4. Contractor expects to commence operations within two (2) days of receiving formal approval from the Well Owner and complete operations within one week of the start date. . PAYMENT OF TAXES. Contractor agrees to pay all taxes, federal, state, and municipal, specifically related to the performance of this work, excluding taxes, fees 'or charges which are the presently the responsibility of Well Owner. WARRANTIES. Contractor warrants that any 'materials or equipment used in the performance of this Contract shall be free of defects in material and workmanship and comply with State of Alaska Oil & Gas Commission regulations relative to well service activities. The Contractor makes no warranties, expressed or implied, except as specifically stated above. SUCH WARRANTIES ARE- IN LIEU OF ALL OTHER WARRANTIES, WRITTEN OR ORAL, STATUTORY, EXPRESS OR IMPLIED, INCLUDINO WITHOUT LIMITATION, ANY WARRANTY OF SERVICE AND MATERIAL FITNESS FOR A PARTICULAR PURPOSE. CONTRACTOR SHALL IN NO EVENT BE LIABLE FOR ANY INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY NATURE, 'EVEN IF CONTRACTOR HAS B~EN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CONTRACTOR SHALL IN NO EVENT BE LIABLE FOR ANY ENVIRONMENTAL DAMAGES OF ANY NATURE. 7, INSPECTION. The Well Owner shall have a reasonable opportunity to inspect the work during and after its performance to determine if the work conforms to the conditions of this Contract. TERMINATION. It is agreed that in case of a material breach (violation) by either party of any of the provisions contained in this Contract, the other party shall have the right to terminate this Contract at its option. Furthermore, if either party becomes insolvent, makes a general assignment for the benefit of creditors, has a petition or any proceeding under the bankruptcy laws filed by or against it or under any other law relating to debtor's relief, or if a receiver is appointed to take control of the business of either party, the other party may, at its option, cancel this Contract. If performance of this Contract or any obligation under this Contract is prevented, restricted, or interfered with by causes beyond either party's reasonable control ("Force Majeure"), and if the party unable to carry out its obligations gives the other party prompt written notice of such event, then the obligations of the party invoking this provision shall be suspended to the extent necessary by such event. The term Force Majeure shall include, without limitation, acts of God, fire, explosion, vandalism, storm or other similar occurrence, orders or acts of military or civil authority, or by national emergencies, insurrections, riots, wars, strikes, lock-outs, work stoppages, or other labor disputes, supplier failures, shortages, breach, or delays. The excused party shall use reasonable efforts under the circumstances to avoid or remove such causes of non-performance and shall proceed to perform with reasonable dispatch whenever such causes are removed or ceased. An act or omission shall be deemed within the reasonable control of a party if committed, omitted, or caused by such party, or its employees, officers, agents, or affiliates. · 11. CONFIDENTIALITY. Both parties acknowledge that during the course of this Contract, each may obtain confidential information regarding the Other party's business. Both parties agree to treat all such information and the terms of this Contract as confidential and to take all reasonable precautions against disclosure of such information to unauthorized third parties during and aRer the term of this Contract. Upon request by an owner, all documents relating to the confidential information will be returned to such owner. 12. ENTIRE CONTRACT. This Contract contains .the entire agreement' of the parties and there are no other promises or conditions in any other agreement whether oral or written. This Contract supersedes any prior written or oral agreements between the parties. AMENDMENT. This Contract may be modified or amended if the amendment is made in writing and is signed by both parties. 14. SEVERABILITY. If any provision of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced a~ so limited. 15. WAIVER OF CONTRACTUAL RIGHT. On 5/12/97 I gave Eric Opstead of Polar Energy Corporation verbal approval to plug and abandon the well as per the submitted 10-403. On May 13, Eric called and said they had the "monument" cut down. He reported that there was no pressure on any of the annuli or the 7" which had been open to atmosphere. He also reported the casing was full of mud. At noon I went to the well site and noted that the 20 x 13 3/8 was filled with cement, the 13 3/8 x 9 5/8 was open, the 9.5/8 x 7 had mud(?), and the 7" was full of dehydrated mud. i stopped after work and found they planned to fill the 7" with cement from 150' and fill all of the annuli and let it sit over night. On May 14 I stopped at the site about 7:15 am and talked to Eric. The 7" and all of the annuli were filled with cement which was setting up. The plate they planned to install contained the following information bead welded on it: PAN AMERICAN ROMIG PARK WELL NO. 1 670'WEL 7 570'NSL SEC 9 T12N R4W S.M. On May 1 5 I checked the Romig Park well and found that it was back-filled. There was no equipment or trash left on site and the wellhead was back- filled following the contour of the slope - water would not pond on the back- fill. I recommend that location clearance be approved. Attached for your signature is a location clearance letter to the owner. Suspended dryhole, PBTD 9,840' MD, BP @ 3,500, no surface plug, conductor rising approx. 65' above current ground level. Objectives of Operation Romig Park No. 1 was originally drilled by Pan American Petroleum Corp. as a wildcat oil and gas test reaching TD at 11,566' MD on March 6, 1964. At the land owner's request, the dryhole was suspended for possible future conversion to a water well. In May of 1997, the land owner contracted Polar Energy Corporation to plug and abandon the well. Pre-Operation Site & Well Surface Conditions The Romig Park No. 1 well is located at the toe of a gravel-pit sidewall in the densely populated Sand Lake area of Anchorage, Alaska. As a consequence of mining, the conductor was exposed some 65 feet above present ground level. Hammer soundings indicated that there was no cement in the 20" - 13-3/8" casing annulus to current GL and the steel-plate cap on the 7" had been cut-off leaving the 7" open to atmosphere. The 20" conductor was split down from the wellhead approximately 10 feet. Run surface EM survey for buried hazards. None indicated. Research AOGCC records and submit Application For Sundry Approvals, AOGCC Form 10-403. Secure verbal approval for Plan of Operations, Plug & Abandonment Procedure from AOGCC. Scallop-out gravel pit sidewall to approximately 5 feet below slope grade. Remove cement around 20" conductor and dispose. Hammer-sound 20". Sounding suggests that 20" - 13-3/8" annulus is cemented below current ground-level. RU welder. Cut window in 20". Remove green cement to expose 13-3/8" casing. Tap 13-3/8" casing. Air blow from tap (+ 50 psi, non-combustible). Bead tap, check for pressure buildup. No buildup observed, Cut window in 13-3/8" casing, 'no cement. Tap 9-5/8" casing, encountered hard cement, no pressure. Cut window in 9-5/8" casing, remove cement to expose 7" casing. Cut and relieve 7" casing. Pullover string of casings and dispose of pipe. Dress stub-up and prepare for well service rig. RU well service-rig. RIH with 2" drillpipe to 155' MD. Circulate with fresh water to displace old drilling mud in 7" casing into 13-3/8" - 9-5/8" annulus. Mix Class "G" cement and displace fresh water in 7" from 155 feet to surface with cement. Sound 13-3/8" - 9-5/8" annulus. Open to 167 feet. Pump loose Class G cement from 167 feet to surface. Prepare bead- weld Abandonment Marker indicating: Name of Operator, Lease Name, Well Number and Well Location. Notify AOGCC to inspect cement job. WOC. Meet AOGCC Inspector and obtain permission for site closure. Dress well casing stub-up. Weld on Abandonment Marker cover to 13-3/8" casing. Pile white concrete aggregate over abandonment marker and spay paint red. Back-fill hole with previously removed material to bury well 5' below grade. Re-contour back-fill to match original slope and grade of site. Clean up and remove all trash and debris. Notify AOGCC of job completion and request site clearance. Scallop approximately five (5) feet of sand from around 20" conductor casing with front- end loader. Attach safety-line cable to top of wellhead and secure. Cut a window in the 20" casing and remove cement. Repeat procedure for 13 5/8" & 9- 5/8" casings to expose 7". Weld valve flange to 7" casing and install 5K valve. Open valve and punch hole in 7" casing with punch rod. Observe well. If gas is encountered, attempt to blow down. If it bleeds down, install pressure gauge, shut the well in and check for pressure buildup. IF PRESSURE BUILDS UP, 'SUSPEND P&A OPERATION! NOTIFY AOGCC & WELL OWNERS. If pressure does not buildup, fill well with water; continue procedure. If well is dead, fill with water or mud as required; continue procedure.. Partially cut through all casings leaving a hinge. Put down section above -3ff GL. Finish cut stub. Mobilize and rig-up a truck-mounted drilling rig. RIH with drillpipe to 150'. Lay Class "G" cement plug to surface. The closure criter/a in the new regulations parallel the closure criteria in the 1991 guidance document, and the review procedures require a discussion of the risk screening assessment as required in the 1991 document. Briefly, the significance of risk to local receptors is evaluated through srudv of contaminant release, exposure criteria. ~d conseauence criter/a. The 1989-1990 Amoco assessment program included acquisition of numerous (I 0-30) shallow cores within and adjacent to each drill pad. sampling of the cored material at five-foot intervals, and installation of monitoring wetls on several facilities from which shallow groundwater was encountered while coring. Of particular concern are references in the original assessment document to drums, batteries, and sacks of drillin~ mud and/or mud additives. Recent documentation (8/19/96'} supplied bv Amoco to the ADEC demonstrates that further ctean-ur~ was :'efforrnecl after the assessment date. and ',,he debris was removed or disposed of properly. This information has been forwarded to the U.S. Fish and Wildlife Service for review. Tvonek State No. 1 Conce::n is expressed by the Contaminated Sites Section of ADEC over potential groundwater contamination from buried reserve pit wastes at the Tyonek State No. l location, especially with frequent summer habitation of the site by Tyonek village residents. Evidence from the 1990 monitoring well data indicate substantial water quality, exceedances with respect to c~omium, lead. barium. TPH. and the BTEX components. Subsequent anaivses from samples collected in 1991 and 1993 indicate the BTEX concentrations are diminishing' however, metal analyses were net reported and TPH concentrations appear to increase significantlv in 1993. Final closure approval of the reserve pit may be granted under !3 AAC 60.4400)(5) 'if the owner or operator demonstrates that water pollution in the arrested water body is diminishing". Therefore, it is requested that Amoco re-sample the two monitoring wells to verify that BTEX. DRO. and metal concentrations are dimimshing. Chuitna .River State Further information is required to reach a tmal decision on the closure status of the Chuima R/vet State location. High concentrations of BTEX (Level A and B soil exceedances), ~, H. and several metals in the rose:we pit drilling waste exist at or within 5-~0 ff depths, and may contact the large pond of standing water. Groundwater from monitoring wells around the eit identified variable ieveis of pe=oieum hydrocarbons. Larze concentrations of TPH at station MW28 (TPH =58 mg/I) and MWq9 tTPH = 10 m~.,1) were obse:'ved in the ~995 data. The down-gradient occurrence ar MW9 suggests that lzPH-derived organics mav be migrating outside the pit area. Groundwater metal analyses were not included. Surface' water analvses from ~e 1993 program identified trace levels of the BTEX comraonents: · elevated levels of barium and lead (Pb=25 ppb) were detected in a i989 surface sample. ~-%e Depam'nent requests that further sampling and analvses of the required metal and hydrocarbon components listed in Table D (18 AAC 60.440) be performed at the site, utilizing analytical methodology specified therein. At least one surface water samrfle from location SW4. and tl-u-ee groundwater samples from MW9. MWl7, and MW28 are reauested. The Depamment recommends that you bail/purge the monitoring wells prior to sampling and use a field-filtration method to eliminate particulates from the groundwater {i.e. measure only the dissolved metal concentrations'). Final closure approval of the site should then be possible under I8 .<AC 60.4400)(5) if the contaminant levels are indeed diminishinz. Final closure approval will be granted after it is demonstrated to the AZ)EC that drilling wastes within :he pits are not actively contaminating surface ~vater or groundv,'ater at the sites. Mr. D. At the request of the surface location owner the well was left in a condition which would allow conversion to a water well. The AOGCC approved the conversion of the well to a water well, approved the plugging of the well to the base of the freshwater aquifers, and released the operator from any further liability (2105 Water Wells of the 1964 Oil and Gas Conservation Regulations and Statute and June 22, 1964 letter from Thomas Marshall). The well currently is a water well and outside any AOGCC authority. Accordingly, the well should be classed as plugged and abandoned. Your parcel is the site of the surface location of the Romig Park No. 1 well, an exploratory oil well drilled in the mid sixties by Pan American (Amoco) Petroleum Corporation. The well did not encounter any potentially commercial hydrocarbons. Exploratory wells drilled with this outcome are usually plugged and abandoned by the operator immediately upon completion of drilling. Due to an agreement between Pan American and Romig Park Inc., then owner of parcel no. 011-291-05-000-95, this well was left in a suspended rather than abandoned condition. The intent of this agreement was to leave the well in a state such that it could be used as a water well by the land owner, with the owner assuming rights to and responsibility for ~ the well. The attached copy of the March 14, 1964 letter from Paul Robinson (President, Romig Park Inc.) to Scott McDonald (Pan American) details this agreement. Also enclosed is the June 22, 1964 letter from T.R. Marshall (State of Alaska) to A.E. Piper (Pan American) indicating this arrangement was conditionally acceptable to the State of Alaska provided state approval was obtained prior to any future work on the well. Our records indicate no action to adapt the Romig Park No. 1 well for use as a water well was ever taken, and the mechanical condition of the well is currently as Pan American left it when responsibility for the well was transferred to the property owner. I am writing to inquire as to your plans for this well. We feel that lacking an alternate proposal, plugging and abandonment of this well should be completed in accordance with the requirements of Alaska Oil and Gas Conservation Commission regulations. Our review of the applicable law leads us to conclude that the state will not incur liability unless state personnel negligently supervised the abandonment procedure (by certifying that the cementing of the well met applicable state standards when in fact it did not, for example) or the well presents some hidden hazard (such as the presence of potentially explosive hydrocarbons within the well bore). Since my discussions with you leads me to conclude that neither~of these potentially liability-creating circumstances is applicable here, I advise that the commission take no additional action with respect to the referenced well. The special litigation section also asked me to alert you to two more likely liability-creating situations -- abandoned oil field roads and bridges. Recently several people have brought suit against the state claiming state liability for injuries they .sustained while using roads or bridges formerly used during logging operations on state-leased land and subsequently abandoned, but not then maintained by the state or closed or torn down. These same hazards may arise in the context of abandoned oil and gaS fields. If you become aware of any hazards of this nature, please notify this office so we may take the necessary measures to insulate the state from liability. As you know Pan American is drilling their Romig Park No. I Well in Section 9, T. 12 N., R. 4 W., S.M. AccOrding to our information the Pan American well is located 5?4 feet north of the lease boundary line of State ADL~)2S92. Although the data is not available to us we understand that the well is off plumb up to 16° at a drilling depth of-approximately 6500'. If the direction of deviation is southerly and up. to 16°, it is reasonable to assume that the well could be ~illing under State Lease ADL-O2B92. Also, as we understand State Conservation Regulation 2060.1 if a deviation is continued for more than a short distance the Operator must notify, submit an application and obtain a permit from the Conservation Committee for the State' of Alaska. We would appreciate being advised of the results of any investigation m~de by the State Conservation Committee to determine if an actual in- fringement has occurred and hope the results are negative.
