Dear Mr. Chatterton:
Effective 'August 1, 1988, the Texaco "All platform was acquired by UNOCAL and
Marathon Oi 1 Company. The platform wi 11 be renamed "Spurr" subject to
approval from the appropriate authorities. The well names have also been
revised to reflect the platform name change. The API numbers will remain
the same. In discussing this revision with Joan Miller of AOGC on September
20th, she advised a letter requesting approval on the changes be sent to you
with a copy of said letter to be enclosed in the current month production
reports.
Please let us know if this will be sufficient to officially update the
monthly production reports to the State. If you have any questions, please
contact Cindy Marolt of Marathon Oil Company at (907) 564-6452.

On jJly 29, 1988, G. A. Graham of this office sent a letter to Jim Eason in-
dicating a change in operatorship for the North Trading Bay Unit. In that
Notice it was indicated that Texaco U.S.A Inc. was resigning and Union Oil
Company of California was appointed successor Operator effective 12: 01 am
August 1, 1988. The attached designation of Operator form 1~4ll to that
Letter has enclosed therewith a jJly 27, 1988 Letter Agreement fully executed
by the Working Interest Owners of the North Trading Bay Ulit specifically
designating Union as Sub-Operator of Platform "A". Some confusion may have
been created by this Designation Notice and it's the intent of this letter to
clarify that Union has been designated Sub-Ope~ator of the North Trading Bay
Unit Platform "A" and that Marathon, who is ~erator of the North' Trading
Bay Unit, remains in that capacity as well as Sub-operator of the Spark Plat-
form.

II. . Contr:lctor shall not! be liable Î01' any losses. sustained on
the propert)' caused directly or indirectly by ^ct of God, fire, sturm, c:
flood,- explosion, strike, riot, rebellion, insurrection, theft, robbery
or any other cause whatsoever unless such other cause is the result of
some willful and malicious acts of any cmployt~C of Contractor, in \,..hich
latter event Contractor shall be liable for such losses sustained as a
result of any such willful and malicious acts. Owner shall make all
repairs and do any reconditioning work necessary solely to the operation
of said three wells. Repairs to equipment, tanks or other plant facilities
used jointl)' to process produced fluiJs and/or gas will be performed by
the Unit Operator with the cost thereof to be pro-rateJ in the same
manner as operating costs for said non-l1nit\,·ell~. Contractor shall
make such minor mechanical adjustments or repair~ as arc ordillnrily
performed by a pumper in the course of his regular duties, but. O\,'ncr
shall furnish at its expense all material and eqldpment required thercfor.

Operating costs ,·¡hich cannot be attributed to North Trading Bay Unit
or the subject wells shall be apportioned on a through-put basis as
in the manner provided in Article 10.3 of the Unit Operating Agreement.
No costs relating to the secondary recovery program shall be charged
to the subject'wells.

V. As to employees of Contractor performing work hereunder
Contractor agrees to comply with the provisions of the Federal Fair
Labor Standards Act and any and all amendments thereof and agrees to
pay all Social Security Taxes applicable to such employees and in
addi tion thereto agl'ees to comply ,..,i th all la,,,s State a~1d Federal now
in force and ''v'hich may hereafter be placed in effect which pertain to
the hours of work or the wages or compensation paid to such employees
or which may provide for the payment of taxes by emplo)'er for Social
Security, Unemployment or Old Age Pension or other benefits in connec-
tion '<lith which any tax. is placed upon any employer.
VI. Either party to this agreement may terminate the same by
giving the other party ninety (90) days written notice to that effect,
mailed ,to such other party at the address above set out.
VII. This contract is not assignable'by either party' in whole or
in part without the written consent of the other party thereto. No orå1
agreement amending, revising or supplementing this contract shall be
binding on either party unless reduced to writing and duly executed by
both parties. / '
VIII. Company may at any time during Contractor's usual business
hours inspect any and all records of Contractor relating to the work
performed hereunder. Contractor agrees to retain for a minimum period
of two years work tickets, ipvoices payrolls and other' supporting records
applicable to the work billed hereunder.
