MEMORANDUM OF OIL AND GAS LEASE - C-060898
This Memorandum of Lease is intended to give notice of a Lease styled OIL AND GAS
LEASE effective as of ~!£:.V.?CW,%~o(f-;(' iO ,2000 by and between Cook Inlet Region, inc.,
an Alaska corporation, as Lessor, and Marathon Oil Company, an Ohio corporation. Pursuant
to the terms of said Lease, Lessee has the exclusive right to explore for and the exclusive right
to produce and market oil, gas, and associated hydrocarbon substances until lease expiration
on Nd c;~~,''~'~'~. (" c:;~ , 2005 unless sooner terminated, on the lands described on the
attached Exhibit A (the "Leased Area"). The Lease also provides for the Lessee to maintain the
lease for so long thereafter as Lessee is producing oil, gas or associated hydrocarbons in
paying quantities therefrom, and on such other terms and conditions as set forth in the Lease.
This Memorandum is intended to summarize some of the provisions of the Lease but in
no way changes, modifies or otherwise affects any provision of the lease. Further information

Dear Ms. Miller:
This is to follow up our telephon(~ conversation this afternoon regarding
the production report on West Fork Gas Field. Both production strings for
WF 1-21 and 2-21 wells have been killed with water and will remain shut-
in until a new owner takes over the field. The tubing pressures for all the
wells are zeros. As we understand, CPC will not be required to submit the
Monthly Production Report.

Brief description of lithology, porosity, fractures, apparent dips and presence of oil, gas or water. Submit core chips.
West Fork 2-21 exploits gas in fluvial sandstones of the Kenai Croup Sterling Formation. Productive sand
porosity averages about 32% with an apparent Sw of approximately 50%. The sediments appear to be laying flat
and no faulting or significant fractures were encountered. A single core was cut from 5420.3' MD to 5446.3' MD.
Core chips from this interval have been submitted directly by Core Laboratory.

on track. Angle was down to 29.1 ° from 30.4°. Drilled ahead at 4821 .

and reamed to bottom; Drilled ahead and surveyed from 4821" to 5270'.
Drilled to core point at 5420'; short trip to shoe, tight hole on trip; made 5
stds. wiper run, circulating bottom up; POOH; R/U core barrel & RIH;
problems with coring assembly.
Tripped coring assembly to inspec~t problem. RIH with coring tools after
inspection. Recovered 27' of loose sand from well in core barrel.

opened D.V., circulated across D.V., Waiting on cement.
Conducted 2nd stage cement, pumped 30 bbl (8.5#) brine, 30 bbl (9.2#)
superflush, 30 bbl (8.5#) brine, 142 bbl 13.2# premium cement, D.V.
closing plpg, followed by 379 bbl mud. Pressured upon closing valve.
Held 5 minutes. Rigged down Halliburton & nippled down 13-3/8" stack.
P/U Bit #5, new BHA, RIH, Tagged top of D.V., broke circulation. Drilled

Circulated and conditioned well for cement evaluation logs. Ran logs.
Determined two squeezes necessary for isolation of gas sands. P/U 20'
2-1/8" perforation gun, RIH, perforated from 5110' to 5130' (2 spf)
Tripped out, P/U EZSV of dp; RIH and set EZSV, squeezed 5110' to 5130';
Established injection rate @ 1/2 bpm at 1600 psi. Pumped 5 bbls water,
followed with 150 sx (30 bbls) Class 'G' cement. Blended with 0.2% CFR-3
& 0.35% HALAD 344 mixed @ 16 ppg while holding 500 psi on backside
with choke; displaced cement with water.
At 85 bbls displacement, stabbed-in; squeezed 29 bbls cement; slow
walked 3/4 bpm to final 1/4 bpm rate; final squeeze pressure' 2400 psi;
shut down. Observed press drop to 2200 psi in 5 minutes; released
pressure; picked up 20' and reversed out D.P.; no cement to surface.
Prepared well for second squeeze. Made casing scraper run to 5077' and
circulated hole clean. Set retainer at 5040'. Perforated from 5026' -
5030' with 4 SPF and block squeezed zone. WOC.
Drilled out retainer at 5007' and cleaned cement to 5040'. Attempted to
test casing. Pressured up to 2500 psi but it bled off 100 psi/min. In 5
minutes pressure bled to 1200 psi. Reattempted test without success.
Prepared to resqueezed with balanced plug. Spot 75 sxs balanced plug
across squeeze zone. Final squeeze pressure at 3000 psi. Shut down and
WOC.
WOC. POOH with cementing tools. RIH with drilling assembly and
tagged cement at 4925'. Drilling out cement.
Drilled cement to EZSV at 5040'. Tested casing to 2200 psi at surface with
9.1 ppg mud in the hole. Pressure held for 30 minutes indicating a good
test. Drilled cement to EZSV at 5137'. Tested casing to 1950 psi at
surface. Pressure held for 1 hour indicating good test.' Terminated test
Circulated and prepared to POOH.
Ran CBL with Atlas WL. Good bond observed along isolation zones.
Injected mud waste down annulus.
Cleaned mud pits. Built 800 bbls of 8.7 ppg test brine. Filtered same to
achieve 40 NTU per program.
Completed mud to brine change over. Tested BOPE per AOGCC
regulations. Hydrotested 2-7/8" test string to 3000 psi per orders. All
tested OK.

filtered test fluid to 35 NTU's. .
Conduct DST #2. Shot B-2 zone at balance condition using 7" Backer TCP
guns loaded 12 SPF with 61 gm Perform charges. Zone shot: 5289'-5294'.
Had gas to surface 30 minutes after perforating. Final rate established at
1.1 MMCFPD at 1600 psi FTP through 10/64' choke. A maximum rate of
2.6 MMCFPD @ 1570 psi FTP was achieved. {NOTE.: Test rate was

migration and maintain formation integrity for gravel pack} Killed well and

Made scraper run to bottom. No sand produced during test. POOH and
laid down drill pipe. Prepared to set sump packer for B-2 gravel pack.
Set sump packer at 5300'. Began B-2 gravel pack operation.
Completed B-2 gravel pack per Baker procedure. Had negligible amount
of sand on returns. Pack placement appeared successful. POOH with
gravel pack assembly. Tested BOPE. Set permanent packer at 5085'. RIH
and set plug in packer and placed 2' sand plug on top of packer plug.
Circulated hole clean and filtered fluid for DST #3.
Located guns on depth for A-2 sand test. Set test packer and displaced
tubing with N2 to give 2000 psi at mid peris @ 5066'. Shot the A-2 sand
from 5060'-5072' using 7" Backer gravel pack guns loaded 12 SPF with 64
gm charges. (Well was shot at slight overbalance condition to Reservoir).
Gas to surface after 40 minutes; stable rate of 1.21 MMcfd @ 1500# FTP
was achieved. Test rate was controlled in order to avoid sand migration
and maintain formation integrity for gravel pack. Terminated test and
circulated test fluid. POOH with test tools.
Prepared hole for gravel pack. Filtered brine for gravel pack.
Gravel packed A-2 sand per Baker procedure. Operation successful. Zone
packed with 20 sxs of 50-70 sand. POOH with gravelpack_ t_o. oLs,_ ,[~/u to

Finished rig up to run dual 2-7/8" completion. Commenced running
completion.
Ran and landed completion assembly. Ran 1.66" OD 2.3# J-55 heater
string to 2521'. Set dual packer and tested same successfully. Tested
annulus OK.
Nipple down stack and nippled up tree per Cooper procedure.
Commenced to flow A~2 sand for clean up.
Unloaded 58 bbls with Nitrogen assistance. Got gas to surface with well
unloading fluid on it's own. All fluid produced was 8.7 ppg completion
brine. Rigged up over long string for clean up.
Flowed gas to surface after unloading 30 bbls of completion fluid. Clean
up was intermittently suspended due to wind conditions. (Gas from flare
was being blown towards rig). Final shut-in pressures were -+-1000 psi for
both strings. Both zones were capable of unloading fluid on their own.
Release Grace Rig 154 at midnight.

Fork #2-21 to witness a weekly blowout preventer test. After
a tour of the drilling rig, the test was started.
Grace Drilling Rig #154 and its crew performed a good test and
as is the usual case, no failures or noncompliances were
observed. Ed Bierbower%CIRI Rep) insures that all equipment
on the rig is running properly and I have always found him to
be polite and helpful on my inspections.
In summary, I witnessed a good BOP test on Grace Rig ~'154
drilling CIRI's West Fork #2-21.

April_!2,. 1992. I traveled to CIRI Production West Fork 2-21
to witness a diverter test on Grace Rig 154.
I found the diverter system and rig to be in compliance with
state regulations and RP-53 with the exception of one section
of the vent leg that had been left off to facilitate
installation of the pit liner on April 13, 1992. All else was
properly laid out and tied down.
The function test went well with a 20 second closure time of
the annular preventer and proper sequencing of the diverter
valves.
In summary, once the vent line to the reserve pit is
installed, Grace Rig 154 will be ready to spud CIRI's Well 2-
21.

This letter will serve as a summary of the situation regarding continued
development of the West Fork Gas Field.
The West Fork 1-21 well was permitted in 1990, drilled and completed in
1991 and gas production commenced in September 1991. This well is
located in section 21, T6N, R9W, Seward Meridian. The southwest
quarter of this section is unleased federal acreage. The accepted
drilling unit for a gas well in Alaska is 640 acres or one section. Since
CIRI does not own all of the gas rights in this drilling unit,
20 AAC 25.055(d) requires a pooling agreement for development. The
Commission recently approved the West Fork 2-2~ well permit with
conditions regarding the pooling agreement. ~.~ IO
Also, 20 AAC 25.517 requires a plan of development and integration of
interests be submitted to the Commission for approval prior to
development and operation of a gas pool. In addition the commission
recommends that CIRI Production Company apply for a pool rules
hearing to define the gas pool and prescribe rules for development.
These issues have been discussed with Erik Opstad and Kevin Brown.
The Commission appreciates their efforts to address our concerns and
work towards timely solutions.

SUBJECT: WEST FORK2-21 WELL SPACING

Dear Mr. Johnston:
This letter follows up on our meeting last Friday, and the Commissions's request for
additional information to support CIRI Production Company's (CPC) request for
exception to 20 AAC 25.055(b). As you will note from Attachment 1, West Fork 1-
21 has completed the B4 and B6 sands using a simple dual completion. However,
tubular dimensions did not allow completion of the A sands which tested at better
than 5 MMCF/D. Furthermore, production of 1-21 revealed problems with the well's
of gravel pack. This completion currently yields a Ap of 924 psi at 3 MMCF/D, as
opposed to only 160 psi at 10 MMCF/D prior to gravel placement.
The West Fork 2-21 well intended to address both these issues by completing the
Sterling A sand and properly completing the B4 and B6 sands utilizing more
sophisticated techniques.

CIRI Production Company by letter dated January 31, 1992 has
requested an exception to the provisions of 20 AAC 25.055 (a)(4). The
exception would allow drilling the West Fork Well 2-21 to a bottom hole
location ~loser than 1500 feet from a section line and closer than 3000
feet from a producing well. The surface location is 2003' from the north
line (FNL), 1821' from the east line (FEL), of Section 21, T6N, R9W,
Seward Meridian and the bottom hole location will be 150' FNL, 1175'
FEL, of Section 21, T6N, R9W, Seward Meridian.
A person who may be harmed if the requested order is issued may
file a written protest prior to 4:00 pm February 21, 1992 with the
Alaska Oil and Gas Conservation Commission, 3001 Porcupine Drive,
Anchorage, Alaska 99501, and request a hearing on the matter. If the
protest is timely filed, and raises a substantial and material issue
crucial to the Commission's determination, a hearing on the matter will
be held at the above address at .9:00 am' March 9, 1992 in conformance
with 20 AAC 25.540. If a hearing is to be held, interested parties may
confirm this by calling the Commission's office, (907) 279-1433, after

FINDINGS:
I .
The CIRI West Fork No. 2-21 gas well as proposed will be
directionally drilled from a surface location 2003 feet from the
north line (FNL), 1821 feet from the east line (FEL) of
Section 21, T6N, R9W, Seward Meridian to a bottom hole location
150 feet FNL, 1175 feet FEL of Section 21, T6N, R9W, Seward
Meridian.

Offset owner, the U. S. Bureau of Land Management, has been
duly notified of CIRI's application.

An exception to 20 AAC 25.055(a)(4) is necessary to allow drilling
of the well.

The West Fork 1-21 well is located in the same drilling unit
(section) and produces from the Sterling B4 and B6 sands.

A large pressure drop across the gravel pack completion in the
West Fork 1-21 well indicates the well's drainage radius is
reduced.
6. The Sterling A sand is not completed in the West Fork 1-21 well.
CONCLUSIONS:

Granting a spacing exception to allow drilling of the CIRI West
Fork No. 2-21 gas well as proposed will not result in waste nor
jeopardize correlative rights.

Integration of interests for the drilling unit is necessary prior to
regular production from the West Fork 2-21 well in order to
protect correlative rights.

A second well in this drilling unit is needed to adequately drain
the Sterling B4 and B6 gas reserves, and to develop the Sterling
A sands.

Dear Mr. Spang:
CIR! Production Company (CPC) has applied to the Alaska Oil and Gas Conservation
Commission (AOGCC) for exception to Statute 20 AAC 25.055 which defines well rules
for eXploration and certain development wells. This spacing exception is required as part
of our Permit to Drill application for West Fork 2-21 planned for March, 1992.
Statute 20 AAC 25.055 states in part that, in the absence of an order by the AOGCC
establishing a drilling unit or prescribing a well spacing pattern, if a gas well is produced
from an interval located within 1,500 feet of any governmental section line, an
exception to the spacing rules must be obtained and the owners or operators of all
directlY and diagonally offsetting sections be notified of the exception request.
This letter is intended to satisfy this requirement of notice.

referenced well.
The permit to drill does not exempt you from obtaining additional
permits required by law from other governmental agencies, and does not
authorize conducting drilling operations until all other required
permitting determinations are made.
Blowout prevention equipment (BOPE) must be tested in accordance with
20 AAC 25.035. Sufficient notice (approximately 24 hours) of the BOPE
test performed before drilling below the surface casing shoe must be
given so that a representative of the Commission may witness the test.
Notice may be given by contacting the Commission at 279-1433.

Subject: West Fork Drainage Case in the Kenai National Wildlife
Refuge
Dear Mr. Stiglitz: ·

The purpose of this letter is to inform you that Federal oil and
gas estate contained in the SE 1/4 of sec. 21 as shown on the
attached plat is currently being physically drained of natural gas
as a result of the production of an offending well by Cook Inlet
Region Incorporated (See Attachment). During the summer of 19'91,
your office was informed of the potential for such drainage to
occur. We now have substantial evidence to confirm such drainage
(see attached CIRI request to the Oil & Gas Commission).
At the request of Ms. Sharon Janis, we also provided your office
with an economic evaluation of the drained tract as an attachment
to our previous correspondence to your office. In light of the
confirmation of physical drainage, CIRI's request to the Oil and
Gas Commission and their intent to drill a second well, we are
requesting your assistance in obtaining' critical subsurface
information (reservoir pressure, reservoir volume, net pay,
porosity, permeability, reserves and production data) from CIRI in
order to conduct a re-evaluation of our initial evaluation. Such
information would help us provide your office with the most
accurate economic value possible in the interest of assisting your
~office consummate an equal value exchange of subsurface estate for
surface estate.

Further, it would allow us to prepare ba6'k~r'ound information with
which to be prepared to discuss with CIRI the preparation of a
special compensatory royalty agreement, in order to protect both
the Federal and State's government interest in lost roTalty revenue
due to d~ainage. Such an agreement would be on an interrim basis
only until such. time as an equal value land exchange has been
consummated.
If we are not able to obtain necessary technical information fr6m
CIRI in order to prepare a revised economic evaluation for land
exchange purposes, and CIRI's cooperation in preparing an interrim
compensatory royalty agreement, or the failure to obtain an equal
value land exchange, then we will have no other alternative but to
offer the tract for lease according to Bureau drainage policy. We
are looking forward to hearing from your office regarding this
situation.
