IT APPEARING THAT:
1. Marathon Oil Company submitted an application dated May 1, 2003
requesting exception to the well spacing provisions of Title 20 MC
25.055(a)(2) to allow drilling the Falls Creek Unit No.3, gas delineation well
to a location which is within 1500 feet of a property boundary with
ownership changes.
2. Notice of opportunity for public hearing was published in the Anchorage
Daily News on May 8, 2003 pursuant to 20 AAC 25.540.
3. No protests to the application were received.
FINDINGS:
1. The Falls Creek Unit No.3 (FCU 3) gas delineation well will be drilled as a
deviated hole with a surface location 2846 feet from the east line and 1643
feet from the south line of Section 6, TIN R12W, Seward Meridian (SM) to a
bottomhole location 2725 feet from the east line and 600 feet from the south
line of Section 1 TIN R13W, SM.
2. Offset landowners, owners and operators within 3,000 feet of the
anticipated productive interval of the FCU 3 well have been notified.
3. No protests to the spacing exception application were received.
4. The location of the FCU 3 well was selected as the most favorable structural
position for Tyonek Formation gas reserves available from the existing Falls
creek Unit pad.
5. An exception to the well spacing provisions of Title 20 AAC 25.055 (a)(2) is
necessary to allow the drilling of the FCU 3.

CONCLUSIONS:
1. The requested spacing exception for the FCU 3 well should be granted,
except that the Commission must take such action as will offset any
advantage which Marathon Oil Company may have over adjoining owners
by reason of the drilling the FCU 3 well as an exception, and so that
drainage to the tract with respect to which the exception is granted will be
prevented or minimized.

Evaluation of the lateral extent of the Tyonek Formation gas reserves in the
FCU 3 will be required to insure protection of the correlative rights of
adjoining owners.
NOW, THEREFORE, IT IS ORDERED:

Marathon Oil Company's application for exception to the well spacing
provision of 20 AAC 25.055(a)(2) is conditionally approved.
The FCU 3 well may not be placed on regular production until Marathon Oil
Company has evaluated the lateral extent of the Tyonek Formation gas
reserves in the FCU 3 and the Commission has been provided that
evaluation and has had the opportunity to take additional action to offset
any advantage Marathon may have over other owners by reason of drilling
FCU 3 to the exception location.

AS 31.05.080 provides that within 20 days after receipt of written notice of the entry of an order, a person
affected by it may file with the Commission an application for rehearing. A request for rehearing must be
received by 4:30 PM on the 23rd day following the date of the order, or next working day if a holiday or
weekend, to be timely filed. The Commission shall grant or refuse the application in whole or in part
within 10 days. 'The Commission can refuse an application by not acting on it within the 10-day period.
An affected person has 30 days from the date the Commission refuses the application or mails (or
otherwise distributes) an order upon rehearing, both being the final order of the Commission, to appeal
the decision to Superior Court. Where a request for rehearing is denied by nonaction of the Commission,
the 30-day period for appeal to Superior Court runs from the date on which the request is deemed denied
(i.e., l0th day after the application for rehearing was filed).

1. Marathon Oil Company ("MOC") by letter dated August 25, 2004, requested the
Alaska Oil and Gas Conservation Commission to allow regular production of the
Falls Creek No. lRD, the Falls Creek No.3 and the Susan Dionne No.3 gas
development wells;
2. Notice of opportunity for public hearing was published in the Anchorage Daily
News on September 3, 2004 pursuant to 20 AAC 25.540; and
3. No protests to the application, comments, or requests for public hearing were
received.
FINDINGS:
1. The surface location of the Falls Creek #IRD well is 1898 feet from the south line
and 2885 feet from the east line, Section 6, TIN, 12W, Seward Meridian (SM).
The bottom hole location for this deviated well is approximately 1830 feet from
the south line and 5025 feet from the east line, Sec. 6, TIN, 12W, SM.
2. The surface location of the Falls Creek Unit No.3 well is 2846 feet from the east
line and 1643 feet from the south line of Section 6, TIN RI2W, SM. The
bottomhole location is approximately 2725 feet from the east line and 600 feet
from the south line of Section 1 TIN RI3W, SM.

3. The surface location of the Susan Dionne No.3 well is 194' from the south line
and 1469 feet from the east line of Section 6, TIS, RI3W, SM. The approximate
bottom hole location for this well is 1964 feet from the south line and 1090 feet
from the east line of Section 1, TIS, R14W, SM.
4. In Conservation Orders Nos. 468, 472 and 491, MOC was granted spacing
exceptions to permit the drilling and testing of these three wells notwithstanding
that their locations did not conform to statewide well spacing requirements
defined in 20 AAC 25.055(a)(2). Each conservation order provided that the well
could not be placed on regular production until the Commission takes additional
action, upon petition, and after notice and hearing, to offset any advantage MOC
may have over other owners by reason of drilling the well to the exception
location and to allow affected owners to produce their just and equitable share of
hydrocarbons.
5. Following a determination that each of these wells was capable of producing in
paying quantities, MOC applied to the Alaska Department of Natural Resources
for the formation of participating areas including each of the wells in the
Ninilchik Unit. The Department approved the formation of these participating
areas.
6. In the event that a person claiming to be affected by regular production from one
or more of the subject wells contends that additional action by the Commission is
necessary to offset any advantage MOC may have, or to allow affected owners to
produce their just and equitable share of hydrocarbons, such person may seek
relief from the Commission irrespective of the provisions of Conservation Order
Nos. 468, 472, and 491.
CONCLUSION:
1. No further action by the Commission is currently required before regular
production from the subj ect wells is permitted.

Alaska Oil and Gas Conservation Commission
Re:
The application of Marathon Oil Company (MOC) for a spacing exception
to allow the drilling and production of the Falls Creek Unit No. 3 Gas
Development Well in accordance with 20 AAC 25.055.
MOC by letter dated May 1, 2003 and received by the Alaska Oil and Gas
Conservation Commission (Commission) on May 2, 2003, has requested the
Commission to issue an order in conformance with 20 AAC 25.055 allowing
regular production of the Falls Creek Unit No. 3 Gas Development Well from a
location within 1500 feet of the external boundary of the Falls Creek Unit. The
surface location of the proposed well is 2846 feet from the east line and 1643
feet from the south line of Section 6, TiN, R12W Seward Meridian (SM). The
top of the productive interval is estimated to be encountered 700 feet from the
south line (FSL) and 2300 feet from the east line (FEL) of Section 1, TIN, R13W,
S.M. The proposed bottomhole location is 600 feet FSL and 2725 feet FEL of
Section 1, TIN, R13W S.M.
The Commission has tentatively set a public hearing on this application for
June 10, 2003 at 9:00 am at the Alaska Oil and Gas Conservation Commission
at 333 West 7t~ Avenue, Suite 100, Anchorage, Alaska 99501. A person may
request that the tentatively scheduled hearing be held by filing a written
request with the Commission no later than 4:30 pm on May 23, 2003.
If a request for a hearing is not timely 'filed, the Commission will consider the
issuance of an order without a .hearing. To learn if the Commission will hold
the public hearing, please call 793-1230.
In addition, a person may submit written comments regarding this application
to the Alaska Oil and Gas Conservation Commission at 333 West 7th Avenue,
Suite 100, Anchorage, Alaska 99501. Written comments must be received no
later than 4:30 pm on June 9, 2003.

I reviewed this application for spacing exception with David Brimberry (MOC 564-6402)
5/6/03. The information required in 25.055 (d) was noted as not in the application and David
said he would get it over as soon as possible. I told him we would go ahead with the heating
notice.

Per our discussion this morning, I am forwarding the letter that was sent to AOGCC (addressed to Steve Davies)
regarding the location execption for Marathon Falls Creek 3. The cover letter "notice" was also sent to the mineral
interest owners within 3000 feet of the targets by certified mail. The list of "noticed" mineral interest owners is part
of this letter sent to you last week by certified mail. I believe the letter and list should satisfy your request for a list
and the notice letter. The affidavit that is included in the letter you AOGCC notes the date that the "notice" letters
were sent out "on or about May 1st, 2003". The certified mail receipts have begun to return to us from the mineral
interest owners. Once these are collected, we will send you a copy of each one.
You noted that we have performed the activities necessary to initiate this location exception request and that a
notice will be published by AOGCC in the newpapers tomorrow, May 7th.

Surface Location Estimate: 2846' FEL and 1643' FSL, Section 6-T1N, R12W, S.M.
Targets: Top Tyonek Pay - Estimate ~ 5303' TVD
2300' FEL and 700' FSL, Section 1-TIN, R13W, S.M.
Tyonek - Estimate ~ 8467'
2725' FEL and 600' FSL, Section 1-T1N, R13W, S.M.
A plat showing the surface location, well path and top of pay cut for the well operation, and
projected total depth is attached, as well as a directional survey for the wellbore. Furthermore,
the parties listed on the attached Exhibit "A" are entitled to notice of this application (those
owners and landowners with a 3,000 foot radius of operations) and they have been duly notified.
The above location has been selected so that Marathon will have access to the most favorable
structural position from existing Falls Creek Pad.

2. That I am knowledgeable and fully informed concerning the facts contained in this affidavit.

That for approximately the past seven years I have worked in Alaska for Marathon Oil
Company (MOC) as Land Manager.

That I have assisted in preparing a notification list for a Location Exception application for
the Falls Creek #3 well with a surface location in Section 6-1N-12W and bottom hole location
in Section 1-1N-13W.
That on or about May 1, 2003 MOC employees mailed notice of the Falls Creek #3 Well
Location Exception application to all of the mineral owners within a 3000' radius of the
proposed well location by certified mail, retttm receipt requested. I have attached a list of
these mineral owners to this affidavit as Exhibit "A". The postal return receipts will be made
available for inspection by proper parties. I believe that we have mailed the notice letters to
good current addresses
In view of the foregoing facts, affiant herein states and deposes that Marathon Oil Company as
operator of the proposed Falls Creek #3 well has made a reasonable and diligent effort to identify,
locate and contact all parties legally due notice of the said Location Exception application.
