IT APPEARING THAT: Docket No. OTH-18-013 Conservation Order 757 Seaview No. 8 Exploratory Well Kenai Borough, Alaska September 13, 2018 By a letter dated May 24, 2018, Hilcorp Alaska, LLC (Hilcorp) requests an order allowing drilling, testing, completion, and regular production of the Seaview No. 8 (Seaview 8) exploratory well in an Undefined Oil Pool within 500 feet of a property line where the owners and landowners are not the same on both sides of the line and in an Undefined Gas Pool within 1,500 feet of a property line where the owners and landowners are not the same on both sides of the line. 2. Pursuant to 20 AAC 25.540, the Alaska Oil and Gas Conservation Commission (AOGCC) scheduled a public hearing for July 10, 2018. On May 29, 2018, the AOGCC published notice of the opportunity for that hearing on the State of Alaska's Online Public Notice website and the AOGCC's website, electronically transmitted the notice to all persons on the AOGCC's email distribution list, and mailed printed copies of the notice to all persons on the AOGCC's mailing distribution list. On May 30, 2018, the AOGCC published the notice in the ANCHORAGE DAILY NEWS. 3. Hilcorp sent by certified mail notices of the application to 118 owners, landowners, and operators of 107 properties within 1,000 feet of potential oil reservoirs targeted by Seaview 8 and within 3,000 feet of potential gas reservoirs targeted by Seaview 8. Hilcorp provided the AOGCC the notice, date of mailing, addresses to which each notice was sent, and copies of the certified mail receipts. On August 24, 2018, Hilcorp sent a second notice regarding the spacing exception application by certified mail to those owners and landowners having undelivered notices. 4. No comments, protests, or requests for hearing were received regarding Hilcorp's application. 5. Hilcorp's application provided sufficient information upon which to make an informed decision. 6. The tentatively scheduled public hearing was vacated. WeIrrFil September 13, 2018 Page 2 of 3 FINDINGS: 1. Seaview 8 well is an onshore, deviated exploratory well within the southern Kenai Peninsula. The surface location is 2,263 feet from the north line and 285 feet from the east line of Section 9, Township 5 South, Range 15 West, Seward Meridian (S.M.). The bottom - hole location is 2,548 feet from the north line and 2,322 feet from the west line of Section 9, Township 5 South, Range 15 West, S.M. 2. Seaview 8 will lie within State of Alaska oil and gas lease ADL 392667 and private land. Hilcorp is the 100% Working Interest Owner and Operator. The State of Alaska and private persons are the landowners. 3. Absent a spacing exception, no well drilling for oil or gas may be open to test or regular production within 500' or 1,500' of a property line, respectively, unless the owner is the same and the landowner is the same on both sides of the line. 4. Seaview 8 targets unproven oil- and gas -bearing reservoirs within an undefined gas pool and an undefined oil pool that cannot be reached by drilling at a location that conforms to the statewide spacing requirements of 20 AAC 25.055(a). 5. Several properties within 1,500' of the planned well path have not been leased by Hilcorp. Hilcorp has neither requested pool rules nor provided a pooling agreement regarding apportionment of the oil and gas to the leases. 6. According to supplemental information submitted by Hilcorp on August 7, 2018, 12 of the 118 notices of Hilcorp's spacing exception application sent by certified mail were returned as undelivered: seven for properties leased by Hilcorp, two for properties that are in the process of being leased by Hilcorp, and three for unleased properties. One notice mailed to the landowner of an unleased property that lies more than 1,500' from the anticipated undefined oil and gas pools within Seaview 8 was marked "Refused" and returned to Hilcorp. 7. The AOGCC received no comments, objections, or protests in response to the public notice regarding Seaview 8 or to the notifications mailed by Hilcorp to all known owners, landowners and operators within 3,060 feet of the Seaview 8 well. CONCLUSION: An exception to the well spacing provisions of 20 AAC 25.055(a) is necessary to allow testing of Hilcorp's Seaview 8 exploratory well. NOW THEREFORE IT IS ORDERED: AOGCC grants Hilcorp's May 24, 2018 application for an exception to the well spacing provisions of 20 AAC 25.055(a) to allow drilling, completion, and short -duration testing operations (less than 15 calendar days) of the Seaview 8 exploratory well within an undefined gas pool or an undefined oil pool. Hilcorp may proceed with these operations as long as it complies with applicable Alaska laws and all other legal requirements. CO 757 September 13, 2018 Page 3 of 3 In so far as Hilcorp's application seeks approval to place Seaview 8 in production without further approval from AOGCC, that request is DENIED at this time. Seaview 8 may not be placed on regular oil or gas production absent prior written approval from AOGCC. In said application, Hilcorp requested Exhibits B-2, C-2 and E be held confidential by the AOGCC. On September 12, 2018, the AOGCC sent Hilcorp a letter approving Hilcorp's application for spacing exception (Conservation Order 757 dated September 13, 2018) and requesting that Hilcorp provide to the AOGCC "a detailed factual and legal basis for the claim as to each document claimed to be confidential" in Hilcorp's application for spacing exception. The letter also requested that the detailed justification be provided to the AOGCC within 10 days. This letter is to serve as the detailed justification requested by AOGCC. Hilcorp's spacing exception application was submitted to AOGCC in accordance with 20 AAC 25.055(d). Under 20 AAC 25.055(d), the commission will review an application for an exception to the spacing requirements in accordance with 20 AAC 25.540 (Hearings). Hilcorp submitted its application in accordance with 20 AAC 25.055(d) and with the expectation that a hearing would be required as specified in 20 AAC 25.055(d). Because of this, Hilcorp requested confidentiality for various exhibits submitted with its application. As required under 20 AAC 25.055(d), AOGCC tentatively scheduled a public hearing for July 10, 2018. The hearing was not held and AOGCC issued an order without a public hearing. According to AAC 25.540(c)(10) of the "Hearings" section, the AOGCC is required to hold information confidential "to the extent necessary to comport with applicable constitutional, statutory, and common law doctrines that protect trade secrets within the meaning of AS 45.50.940 and other commercially sensitive, confidential, and proprietary information..." According to AS 45.50.940(3), a "trade secret" is defined as information that: (3)(A) derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by, other persons who can obtain economic value from its disclosure or use; and (3)(B) is the subject of efforts that are reasonable under the circumstances to maintain its secrecy. Hilcorp has requested that the Certified Mailing List (Exhibit B-2), the Tract Ownership Schedule (C-2), and the Seaview No. 8 Well Map (Exhibit E) are held confidential by AOGCC to protect Hilcorp's current investment in title research, locating and contacting landowners, Seaview No. 8 Application for Spacing Exception Request and Justification for Claiming Confidentiality September 20, 2018 Page 2 of 3 geographic structure locations, and proprietary exploration information. When this information was submitted to AOGCC and specifically requested in Hilcorp's application to be held confidential, as well as stamped confidential, it was expected to be included in the public hearing as required under AAC 25.055(d). This information potentially derives independent economic value, and it is clearly not readily ascertainable by proper means. These documents are considered a "trade secret" as defined under AS 45.50.940(3) as well as proprietary information as explained in detail below. Hilcorp has made a significant investment in title research and locating landowners, as well as exploration work. Hilcorp has invested a significant amount of funds into contractors for title research, locating and contacting landowners, negotiating and acquiring leases, and bonus or rent paid to acquire the leases. To compile the information shown on Exhibits B-2, C-2, and E, the company's time and resources were used. Hilcorp began its title research back in February 2016, and said work is still continuing to present day. Identifying mineral ownership takes a skilled contractor who specializes in mineral title and research. Many hours have been spent in the State records database searching historical indexes and documents and forming a chain of title on each of the 107 tracts identified in this application. In addition to identifying mineral ownership in the 107 tracts, which total It 8 landowners, a significant amount of time and resources went into locating and contacting these landowners, as explained in detail below. Making this public would give competitors the work that Hilcorp has invested time, money, and resources in, and would potentially jeopardize Hilcorp's leasing program and exploration efforts in the area. Exhibit B-2 shows all of the contact info for each landowner in the vicinity of Seaview No. 8. A good deal of the 118 landowners do not own the surface, so the Kenai Peninsula Borough tax records did not have the information necessary to contact them. Contact info is usually not readily available on search engines such as Google or Bing. Hilcorp employs contractors that utilize various costly sources in order to locate many of the landowners on the list. A team of nine (9) contractors have worked to compile this list of contact info, while using various databases that search for contact info, all requiring costly fees. Finding landowners often requires our contractors to contact heirs, neighbors, work associates, or visiting last known addresses of the landowner. If this list was made public, any competitor would have access to this contact list, without putting any time, resources, or money into researching and locating these landowners. Exhibit C-2 is a breakdown of mineral ownership for each of the 107 tracts. Hilcorp's team of brokers spent almost three (3) years researching and forming chains of title on each of the 107 tracts, which require searching historical records at the recorder's office and locating conveyance documents. This often requires locating probates, court documents, wills, etc. from courthouses all over the U.S. in order to clear up any ownership issues. Handing over two plus years of work to our competitors would allow them to identify the landowners using Hilcorp's costly work and expedite a competitor's leasing program. It took a team of contractors, attorneys, and landmen to put the tract ownership list together, as well as configuring the mailing list and acquiring leases, over the last two plus years. Exhibit E is a lease hold map that shows Hilcorp's currently leased and unleased tracts with the anticipated productive areas along the wellbore. Hilcorp is still actively leasing the prospect and negotiating oil and gas leases with various landowners in the area. Any Seaview No. 8 Application for Spacing Exception Request and Justification for Claiming Confidentiality September 20, 2018 Page 3 of 3 competent oil and gas company could look at Exhibit E and identify which tracts are in Seaview No. 8's anticipated productive area, and of these tracts which are unleased. Competitors could then refer to Exhibit C-2 to identify who the mineral owners are in each unleased tract, and then refer to Exhibit B-2 for the land owners contact info. Competitors would incur little to no cost and could potentially put Hilcorp's active leasing program and exploration efforts at risk. Some competitors only have the intention of forcing Hilcorp to include them in our project, without investing in any preliminary exploration work as Hilcorp did. Exhibit E also identifies the locations of the anticipated productive interval for both oil and gas for each formation. This could be used by competitors to identify the structure, and target tracts to potentially lease. Hilcorp has made a significant investment in exploration in this area, including a 2D seismic program, stratigraphic well testing program, and a gravity and magnetics survey. All of this data was used to identify the structure and determine the proposed well location, bottomhole location, and productive intervals for oil and gas in our first exploration well (Seaview No. 8). Given this information, competitors could easily identify where the geographic locations are located for either the typically oil -productive, or typically gas -productive formations indicated on Exhibit E, and then use this information to secure high -graded leases. Hilcorp has at great expense identified said lease tracts and formation marker tops, and prospectivity, and revealing such information could expose us to opportunistic competition. This is an exploration project in the very early stages, and Hilcorp is still currently negotiating and acquiring oil and gas leases throughout the prospect. By making these three (3) Exhibits public, it would give competitors an unfair advantage and incentive to initiate a leasing program, while incurring little to no cost to do so. Hilcorp strongly believes that this land work (title research, tract ownership info, landowner identification and location, lease hold, etc.) done for this exploration project should be held confidential as it is considered a trade secret as defined under 45.50.940(3), as well as considered proprietary information. Hilcorp also believes that land work is held to the same standard as drilling data and seismic data in regards to confidentiality. Making this information public would potentially jeopardize Hilcorp's leasing program and exploration efforts in the area. In accordance with 20 AAC 25.005, Hilcorp plans to submit an application for a Permit to Drill to AOGCC for approval, prior to the commencement of drilling Seaview No. 8. This well will be drilled from the a pad site ("Seaview Pad Site") located on privately owned property (KPB Parcel 16910237), within the Seaview Prospect area located in Anchor Point, Alaska. The land use authorization for the Seaview Pad Site was granted by the private surface owner, under a certain Rights -of -Way and Option to Purchase Agreement recorded in the Homer Recording District under Document No. 2018-000458-0. Drilling operations for Seaview No. 8 are expected to commence approximately August 21St, 2018. To date, no pool rules have been established within the Seaview Prospect area. Therefore, statewide spacing regulation 20 AAC 25.055(a) is controlling. In relevant part, subsections (a)(1) and (a)(2) provide: • (a)(1) For a well drilling for oil, a wellbore may be open to test or regular production within 500 feet of a property line only if the owner is the same and the landowner is the same on both sides of the line. • (a)(2) For a well drilling for gas, a wellbore maybe open to test or regular production within 1,500 feet of a property line only if the owner is the same and the landowner is the same on both sides of the line. Seaview Prospect Seaview No. 8 Application for Spacing Exception May 24, 2018 Page 2 of 22 The proposed Seaview No. 8 well is an exploration well located approximately 1.25 miles south of Anchor Point, Alaska, within an exploration area referred to as the Seaview Prospect area. Seaview No. 8 will be the first exploration well drilled by Hilcorp in the Seaview Prospect area; being in an area with no established unit or participating areas. There have been three (3) wells drilled in the Seaview Prospect area; drilled by Standard Oil Company, Union Oil Company of California, and Aurora Gas, LLC. Each of these three (3) wells drilled resulted in dry holes, which required plugging and abandonment. There are currently no productive wells, or wells capable of production, within the Seaview Prospect area. This spacing exception is necessary because (i) Seaview No. 8 will be open to test or regular production in the Undefined Oil Pool within 500 feet of a property line where the owners or landowners are not the same on both sides of the line (20 AAC 25.055(a)(1)), and (ii) this well will be open to test or regular production in the Undefined Gas Pool within 1,500 feet of a property line where the owners or landowners are not the same on both sides of the line (20 AAC 25.055(a)(2)). Seaview No. 8 will target unproven oil and gas reserves that cannot be reached by conforming to applicable statewide spacing restrictions. Hilcorp is the sole working interest owner of the affected oil and gas leases. Hilcorp has made, and is continuing to make attempts to lease all uncommitted tracts within Seaview Prospect area. However, a number of landowners have yet to be located, or are unwilling to participate in our exploration efforts. Hilcorp is committed to locating and contacting all landowners within the Seaview Prospect area, and give them the option to participate in Hilcorp's exploration plans. In addition to the previous offers made by Hilcorp, a cover letter was sent along with the application notices, as required under 20 AAC 25.055(d)(1). Said cover letter restates the landowner's option to participate in Hilcorp's exploration plans (see Exhibit A). Following successful completion of Seaview No. 8, and prior to bringing the well online, Hilcorp will submit to the AOGCC an application to establish pool rules for the Seaview Field. Concurrently with the pool rule application, Hilcorp plans to submit to the Department of Natural Resources, Division of Oil and Gas ("DNR"), an application to form the Seaview Unit and Initial Participating Area. The size and acreage of the proposed affected area of the pool rules and unit area will be contingent on the drilling and testing results of Seaview No. 8. Upon AOGCC and DNR approval, production from Seaview No. 8 will be allocated in accordance with the conservation order establishing pool rules for the Seaview Field issued by AOGCC, as well as the Seaview Unit and Initial Participating Area allocation schedules. As a result, the correlative rights of all affected owners, landowners and operators will be protected by approval of this spacing exception. In accordance with 20 AAC 25.055(d)(1), a copy of this application was sent via certified mail to the all affected owners and landowners within 1,000' of Seaview No. 8's anticipated productive interval within the Undefined Oil Pool, and 3,000' of Seaview No. 8's anticipated productive interval within the Undefined Gas Pool (see Exhibit 13-1 and 13- 2).
